Overview

Terms of Use

Welcome to Wizaur. Please read these Terms carefully to understand the rules and restrictions that govern your use of our websites, applications, products, services, software tools, and AI personas (collectively referred to as the “Services”).

If you are a creator who builds or manages an AI persona on Wizaur (a “Creator”), your activities may also be governed by the Creator Terms of Use.

These Terms of Use (“Terms”) form a binding legal agreement between you and Wizaur Inc. (“Wizaur,” “we,” or “us”).

Your access to or use of the Services in any manner means that you agree to these Terms, and these Terms remain in effect for as long as you use the Services.

You must accept these Terms in the Wizaur app before you create an account or sign in, and you will be asked to accept them again when they change. We record the version of the Terms you accepted and when you accepted them.

These Terms include the provisions contained in this document as well as those incorporated by reference, including the Privacy Policy, Copyright Dispute Policy, Community Guidelines, Biometric Consent Policy, and other relevant policies.

Certain Services may also be governed by additional policies, rules, or conditions (“Additional Terms”). Such Additional Terms are incorporated into these Terms by reference. By accessing or using those Services, you agree to comply with the Additional Terms.

Please review these Terms carefully. They contain important information about the Services we provide, including details about potential charges, taxes, billing policies, changes to these Terms, automatic renewals, limitations of liability, and dispute resolution procedures including arbitration.

Arbitration Notice and Class Action Waiver

Except for certain disputes described in the Arbitration section below, you agree that any dispute between you and Wizaur will be resolved through binding individual arbitration.

You further agree that you waive any right to participate in a class action lawsuit or class-wide arbitration.

Changes to These Terms

We continually improve our Services. As a result, these Terms may be updated periodically.

Wizaur reserves the right to modify these Terms at any time. If changes occur, we will notify you by posting an updated version on our website, sending you an email, or providing notice through the Services.

If you do not agree with the revised Terms, you may discontinue using the Services.

Continued use of the Services after the revised Terms become effective constitutes acceptance of those changes.

Except as otherwise stated in this section, any modification of these Terms must be in writing and signed by both you and Wizaur.

Privacy

Wizaur takes user privacy seriously.

For details about how we collect, use, and protect your information, please review the Wizaur Privacy Policy.

Children’s Online Privacy Protection Act

The Children’s Online Privacy Protection Act (COPPA) requires online service providers to obtain parental consent before collecting personal information from children under the age of 13.

Wizaur does not knowingly collect personal information from children under the age of 13.

If you are under the age of 13, please do not attempt to register for the Services or submit any personal information.

If we discover that personal information has been collected from a child under the age of 13, we will delete such information promptly.

If you believe a child under the age of 13 has provided personal information to Wizaur, please contact us at support@wizaur.ai.

Account & Usage

Account Basics

To access certain features of the Services, you may be required to create an account and select login credentials including a password and username (“Wizaur User ID”).

You agree to provide accurate, complete, and up-to-date information when registering for an account.

You may not choose a Wizaur User ID that you do not have the legal right to use or that impersonates another individual.

You may not transfer your account to another person without prior written permission from Wizaur.

Certain features of the Services may also allow access through credentials from third-party services (“Third-Party Accounts”), such as Google or other platforms.

By connecting a Third-Party Account, you authorize Wizaur to access certain information from that account as permitted by your privacy settings on that platform.

You represent and warrant that you are legally able to enter into a binding contract.

If you accept these Terms on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

You agree to use the Services solely for your personal use or internal business purposes and not for the benefit of a third party unless explicitly authorized.

You are responsible for maintaining the security of your account credentials and for all activities conducted under your account.

Messaging and Communications

As part of the Services, you may receive communications from Wizaur, including emails, notifications, or text messages.

By registering for the Services and providing your phone number, you consent to receiving communications from Wizaur, which may include automated messages.

You may opt out of certain communications according to the instructions provided in those messages.

You agree to indemnify Wizaur from claims arising from your failure to obtain consent from individuals whose contact information you provide.

Voice and Audio Processing

To enable certain features of the Services, Wizaur and its service providers may collect audio recordings of your voice for purposes such as speech recognition, transcription, and interaction with AI personas.

Wizaur does not generate biometric voiceprints intended to uniquely identify individuals.

Voice recordings are used solely for purposes related to providing, maintaining, improving, or updating the Services.

Audio recordings will be protected using reasonable technical and organizational safeguards.

Such recordings may be stored until they are no longer needed to provide the Services or for a period of up to three years from your last interaction with the Services, unless longer retention is required by law.

Voice recordings may only be disclosed when required by law, including in response to legal requests such as subpoenas or warrants.

Restrictions on Use of the Services

You represent, warrant, and agree that you will not provide, upload, transmit, or otherwise contribute any material, including Content or User Submissions (as defined below), to the Services, nor interact with the Services in any way that:

1. infringes or violates the intellectual property rights or other rights of any person or entity, including Wizaur
2. violates any applicable law or regulation, including export control laws, privacy regulations, or other legal requirements
3. involves activity that is harmful, fraudulent, deceptive, threatening, abusive, defamatory, obscene, pornographic, or otherwise objectionable
4. compromises the security of your Wizaur User ID or account, or the account of any other user
5. attempts to obtain passwords, authentication credentials, or other security information belonging to another user
6. attempts to compromise the security of any computer network, system, or infrastructure connected to the Services
7. distributes spam, chain letters, automated messages, or unsolicited communications through the Services
8. uses automated systems such as bots, crawlers, scrapers, or spiders to access or collect data from the Services for purposes including training artificial intelligence systems
9. copies, archives, or stores large portions of Content available through the Services without authorization
10. decompiles, reverse engineers, disassembles, or otherwise attempts to derive the source code, algorithms, or underlying structure of the Services
11. uploads files containing viruses, malware, or other harmful code
12. attempts to bypass security features or restrictions implemented by Wizaur
13. modifies, adapts, translates, or creates derivative works of the Services without Wizaur’s prior written consent
14. uses AI persona outputs or Services data to develop or train competing artificial intelligence products or services
15. copies, rents, leases, sublicenses, distributes, or otherwise transfers rights to the Services without authorization

Violation of any of these restrictions may result in suspension or termination of your access to the Services.

Community Standards and Zero Tolerance Policy

Wizaur has zero tolerance for objectionable content and abusive users. You may not post, upload, send, or share, including through your profile, messages, quest answers, your AI persona, or any other User Submission, content that:

• is hateful or discriminatory, or attacks people based on a protected characteristic
• harasses, bullies, threatens, or intimidates another person
• is sexually explicit or pornographic
• depicts, promotes, or incites violence, self-harm, or suicide
• sexualises or endangers minors in any way
• is spam, a scam, or impersonates another person
• is otherwise objectionable

To enforce this policy:

• Filtering. Text you submit is automatically checked for objectionable language and may be blocked before it is sent or saved.
• Reporting. You can report any user, profile, message, or answer from within the app.
• Blocking. You can block any user. A blocked user is removed from your Circle, chats, and feeds immediately, can no longer contact you or your AI persona, and our moderation team is notified.
• Review and enforcement. We review every report within 24 hours. Where content violates these Terms, we remove it and suspend or permanently remove the account of the user who provided it, without notice.

Content and Intellectual Property Rights

Rights Related to the Services

All materials made available through the Services—including but not limited to text, graphics, data, software, images, audio, video, and user-generated materials (collectively referred to as “Content”)—are protected by copyright, trademark, and other intellectual property laws.

You agree to comply with all notices, restrictions, and proprietary rights associated with Content available through the Services.

Except where explicitly authorized, you may not use, copy, reproduce, modify, publish, distribute, transmit, display, license, sell, or exploit Content that you do not own without permission from the rightful owner.

Subject to these Terms, Wizaur grants you a limited, worldwide, non-exclusive, non-transferable, and non-sublicensable license to access and display Content solely for purposes of using the Services.

You acknowledge that Wizaur owns the Services and the underlying technology that powers them. You agree not to reproduce, modify, distribute, or create derivative works from the Services except as expressly permitted by these Terms.

User Submissions

Any information, content, or materials that you upload, submit, post, share, store, or otherwise provide through the Services is considered a “User Submission.”

You may choose whether your User Submissions are private or visible to other users.

You remain solely responsible for the content of your User Submissions.

You represent and warrant that your User Submissions:

• are accurate and current
• comply with applicable laws and regulations
• do not infringe the rights of any third party

You agree not to submit content that:

• infringes copyright, trademark, privacy, or other rights of others
• contains sexually explicit or pornographic material
• promotes hate speech or discrimination
• exploits or harms minors
• depicts unlawful acts or extreme violence
• depicts cruelty toward animals
• promotes fraudulent or deceptive financial schemes
• otherwise violates applicable law

Licenses Granted to Wizaur

You retain ownership of your User Submissions.

However, in order to operate and improve the Services, you grant Wizaur and its partners a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, and transferable license to:

• store
• reproduce
• modify
• adapt
• display
• distribute

your User Submissions as necessary to operate and provide the Services.

These licenses are granted solely for purposes related to operating the platform and delivering the Services.

Personal User Submissions

If you store content privately in your account so that only you can access it (“Personal User Submission”), you grant Wizaur permission to store, display, and process that content solely for the purpose of providing the Services to you.

Limited Audience User Submissions

If you share content with a specific group of users (“Limited Audience User Submission”), you grant Wizaur permission to display and distribute that content to those specific users as necessary to operate the Services.

Those users may also access the content as permitted by the functionality of the Services.

Public User Submissions

If you publish content publicly on the platform or submit feedback, feature suggestions, or improvement ideas (“Public User Submission”), you grant Wizaur and its partners the right to use, reproduce, distribute, and display such content in connection with the operation and promotion of the Services.

Other users may also access and use Public User Submissions according to the features of the platform.

Duration of Licenses

The licenses granted above are perpetual, worldwide, royalty-free, and irrevocable, except that when you delete your account, Wizaur will stop displaying your private User Submissions to other users.

However, you acknowledge that it may not be possible to completely remove content that has been copied, shared, or stored by other users.

Technical Modifications

You understand that Wizaur may need to modify User Submissions in order to:

• transmit content across networks
• adapt content to different devices
• ensure compatibility with platform features

These modifications are limited to what is technically necessary to operate the Services.

Copyright Infringement and Intellectual Property Complaints

Wizaur respects the intellectual property rights of others and expects users of the Services to do the same.

If you believe that any Content available through the Services infringes your copyright or other intellectual property rights, you may submit a notice requesting removal of the material in accordance with our Copyright Dispute Policy.

Wizaur reserves the right to remove or disable access to Content alleged to infringe intellectual property rights and to terminate the accounts of repeat infringers.

Responsibility for Content

Any information or Content that is publicly posted or privately transmitted through the Services is the sole responsibility of the person who created or submitted that Content.

You access and use such Content at your own risk.

Wizaur is not responsible for errors or omissions in Content, nor for any loss or damage resulting from reliance on Content available through the Services.

You acknowledge that responses generated by the Services based on User Submissions (“Output”) are produced through machine learning processes and may not always be accurate, complete, or current.

Wizaur does not independently verify or guarantee the accuracy, reliability, or appropriateness of Output.

You are responsible for reviewing and verifying Output before relying on it for decisions or actions.

Wizaur is not responsible for monitoring or moderating Output generated by the Services.

User Interactions and Third-Party Services

The Services may include links to third-party websites or services that are not owned or controlled by Wizaur.

By accessing such third-party services, you acknowledge that there may be risks associated with interacting with external platforms.

Wizaur does not control and is not responsible for the content, policies, or practices of third-party websites or services.

You are encouraged to review the terms and privacy policies of any third-party websites you visit.

By using the Services, you release Wizaur from any liability arising from your use of third-party websites or services.

Interactions with individuals or organizations discovered through the Services—including payments, transactions, or service agreements—are solely between you and the relevant third party.

Wizaur is not responsible for any disputes or damages arising from such interactions.

If a dispute arises between users of the Services or between a user and a third party, Wizaur has no obligation to intervene.

You agree to release Wizaur and its officers, employees, and agents from any claims arising out of such disputes.

Changes to the Services

Wizaur continually works to improve the Services and may modify them from time to time.

We may:

• introduce new features
• remove existing features
• impose usage limits
• restrict access to certain features or services

Where possible, we will attempt to provide notice of significant changes that may affect your use of the Services.

However, such notice may not always be feasible.

Wizaur also reserves the right to remove Content from the Services at any time and for any reason, including where Content may violate these Terms.

Fees and Paid Services

Certain features of the Services may be offered free of charge, while others may require payment.

If a previously free feature becomes a paid feature, Wizaur will notify you before charges are applied.

If you choose to continue using such features, you agree to pay all applicable fees.

Standard data or messaging rates from your mobile carrier may apply when receiving text messages from the Services.

You are responsible for all such charges.

Paid Services

Some features of the Services may require payment (“Paid Services”).

Descriptions of Paid Services and pricing are available on the Wizaur pricing page.

Payment terms presented during purchase or subscription are considered part of these Terms.

Billing and Payment Processing

Payments for Paid Services may be processed through a third-party payment processor (“Payment Processor”).

By providing payment information, you authorize Wizaur to charge your selected payment method (“Payment Method”) through the Payment Processor.

Processing of payments will be governed by the terms and privacy policies of the Payment Processor in addition to these Terms.

Wizaur is not responsible for errors or omissions made by the Payment Processor.

If payment is not successfully received, you remain responsible for paying all outstanding balances.

Recurring Billing

Some Paid Services operate on a recurring subscription basis.

By subscribing to a recurring service, you authorize Wizaur to charge your Payment Method periodically until you cancel the subscription.

Recurring charges may occur monthly or according to the billing schedule associated with your subscription.

You may cancel recurring billing through your account settings.

Cancellation will prevent future billing but will not affect charges already processed.

Billing Information

You agree to provide current, accurate, and complete billing information associated with your account.

You must promptly update your billing information if any details change, including payment method, billing address, or expiration dates.

Failure to maintain accurate billing information may result in suspension of your access to Paid Services.

Auto-Renewal of Subscriptions

Unless you opt out of automatic renewal, subscriptions to Paid Services will renew automatically for additional periods of the same duration.

Renewals will be charged at the current subscription rate.

You may cancel your subscription at any time through your account settings.

If you cancel a subscription, you may continue using the Paid Services until the end of the current billing period.

Subscription fees are generally non-refundable.

Free Trials and Promotions

From time to time, Wizaur may offer free trials or promotional access to Paid Services.

If you do not cancel before the trial period ends, you may automatically be charged for the Paid Service.

If you believe you were charged incorrectly during a trial period, please contact support@wizaur.ai.

Termination of Services

You may stop using the Services at any time by deleting your account through your account settings or contacting Wizaur.

Wizaur may also suspend or terminate your account if you violate these Terms or engage in conduct that harms the platform or other users.

Termination of your account may result in the loss or deletion of Content associated with your account.

Certain provisions of these Terms will survive termination, including obligations relating to payment, intellectual property, liability limitations, and dispute resolution.

Referral Programs

Wizaur may offer referral programs that provide rewards or incentives for referring new users to the Services.

Referrals must involve individuals or organizations who are not already registered users of the Services.

Rewards may be granted when the referred user completes required actions such as registering an account or making a purchase.

Wizaur reserves the right to modify or terminate referral programs at any time.

Rewards may be revoked if Wizaur determines that the referral program has been abused or manipulated.

Warranty Disclaimer

The Services and all Content provided through the Services are offered on an “AS IS” and “AS AVAILABLE” basis.

Wizaur and its affiliates, licensors, partners, employees, and agents make no representations or warranties regarding the Services.

To the fullest extent permitted by law, Wizaur disclaims all warranties, including:

• merchantability
• fitness for a particular purpose
• non-infringement
• uninterrupted or error-free operation of the Services.

Limitation of Liability

To the maximum extent permitted by law, Wizaur and its affiliates will not be liable for:

• indirect damages
• incidental damages
• consequential damages
• loss of profits
• loss of data
• business interruption
• loss of goodwill

In no event will Wizaur’s total liability exceed the greater of:

1. one hundred dollars ($100), or
2. the amount paid by you for the Services during the twelve months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Wizaur and its officers, employees, agents, and affiliates from any claims, damages, liabilities, losses, and expenses—including legal fees—arising from:

• your use of the Services
• actions taken through your account
• your violation of these Terms

Assignment

You may not assign or transfer these Terms or your account without Wizaur’s prior written consent.

Wizaur may assign or transfer these Terms without restriction.

Governing Law

These Terms are governed by the laws of the State of California, together with applicable federal law, without regard to conflict-of-law principles.

Dispute Resolution and Arbitration

Except for claims that may be brought in small claims court, any dispute arising from these Terms or your use of the Services will be resolved through binding arbitration.

Arbitration will be conducted according to the rules of the American Arbitration Association (AAA).

Arbitration will be conducted by a single arbitrator and will occur on an individual basis.

Class actions, collective proceedings, and representative claims are not permitted.

The arbitrator may award damages or other relief consistent with applicable law but may not issue public injunctions.

Mass Arbitration Procedures

If multiple similar claims are filed against Wizaur by coordinated legal counsel, those claims may be treated as a Mass Filing.

In such cases, arbitration may proceed in stages involving selected representative cases followed by mediation and additional arbitration proceedings as necessary.

These staged procedures are designed to improve efficiency and reduce arbitration costs.

Opt-Out of Arbitration

You may opt out of the arbitration agreement by sending written notice to Wizaur within 60 days of accepting these Terms.

Your notice must include:

• your name
• your contact information
• a statement that you wish to opt out of arbitration

Jury Trial and Class Action Waiver

To the fullest extent permitted by law, you and Wizaur waive the right to a jury trial.

You also waive the right to participate in class actions, collective actions, or representative proceedings.

All disputes must be brought in an individual capacity.

Miscellaneous

You are responsible for paying all taxes and government charges associated with your use of the Services.

Failure by Wizaur to enforce any provision of these Terms does not constitute a waiver of that provision.

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect.

These Terms constitute the entire agreement between you and Wizaur regarding the Services.

You acknowledge that you are not an employee, partner, or agent of Wizaur.

Third-Party Beneficiaries

Except as specifically stated in the arbitration provisions, these Terms do not create rights for any third-party beneficiaries.
